The terms behind the service.
Last updated 5 October 2026. These terms govern use of the Xetuu ERP service by organisations and their users.
1. The agreement
These terms (the “Terms”) are the master agreement between Xetuu ERP Limited (“Xetuu”) and the organisation that signs up for or uses the Xetuu ERP service (“Customer”). By creating a workspace or using the service you accept them on behalf of the Customer, and confirm you have authority to do so.
If the Customer and Xetuu sign an order form or separate agreement, that document prevails over these Terms where they conflict.
2. The service
Xetuu provides a hosted, modular ERP platform. Modules are installed per workspace from the App Store. Some modules may be marked as in development; those are described but not provided, and nothing on this website promises delivery dates for them.
We may improve, change or retire features, and will give reasonable notice of changes that materially reduce functionality the Customer relies on.
3. Accounts and access
- The Customer chooses its administrators and is responsible for the users it creates, the roles it assigns and the security of their credentials.
- Information given at sign-up must be accurate and kept up to date.
- The Customer must tell us promptly of any unauthorised use of its workspace.
4. Subscription and fees
Fees depend on the modules and users in the order form or plan the Customer selects. Unless stated otherwise, fees are invoiced in advance for each term, are non-refundable except where the law requires, and exclude taxes, which the Customer pays. A free trial, where offered, may be limited in scope and duration and may be ended at any time.
5. Customer data
- The Customer owns its data. Xetuu receives only the rights needed to host, process, back up, secure and support it as part of the service.
- Xetuu processes personal data in the Customer's workspace as the Customer's processor, in line with our Privacy Policy and any data-processing terms agreed with the Customer.
- The Customer is responsible for the lawfulness of the data it enters and for having the right to process it.
- Our security controls are described in the whitepaper and on the data sovereignty page.
6. Acceptable use
The Customer and its users must not:
- break the law or infringe others' rights through the service;
- attempt to access another workspace, probe or bypass security controls, or disrupt the service;
- upload malware or content they have no right to share;
- resell or sublicense the service except as agreed in writing;
- reverse engineer the software except as the law allows.
We may suspend access that threatens the security or availability of the service, and will restore it once the issue is resolved.
7. Intellectual property
Xetuu and its licensors own the software, documentation and brand. The Customer receives a limited, non-exclusive, non-transferable right to use the service during the term. Feedback the Customer gives us may be used to improve the service without obligation.
8. Confidentiality
Each party must keep the other's non-public information confidential, use it only for this agreement and protect it with reasonable care, except where disclosure is required by law or the information is public through no fault of the recipient.
9. Availability and support
We work to keep the service available and to respond to support requests promptly through the channels on our Help page. Any specific service levels, support hours or credits apply only if stated in the Customer's order form.
10. Warranties and disclaimer
Xetuu will provide the service with reasonable skill and care. Except as expressly stated, the service is provided “as is” and Xetuu disclaims implied warranties to the extent the law allows, including fitness for a particular purpose. The Customer remains responsible for the accuracy of its financial records and for compliance with its own tax, accounting and employment obligations.
11. Limitation of liability
To the extent the law allows: neither party is liable for indirect or consequential loss, loss of profit or loss of goodwill; and each party's total liability arising from the agreement in any twelve-month period is limited to the fees paid or payable by the Customer for that period.
Nothing limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
12. Term and termination
The agreement lasts for the subscription term and renews as stated in the order form or plan. Either party may end it for the other's material breach that is not remedied within a reasonable period after written notice.
On termination the Customer's access ends and, on request, we return or delete the Customer's data as set out in the agreement, subject to any retention the law requires.
13. Changes to these Terms
We may update these Terms. We will give notice of material changes, and continued use after the effective date means acceptance. A Customer that does not accept a change may end its subscription at the end of the current term.
14. Governing law
Unless the order form says otherwise, these Terms are governed by the laws of the jurisdiction in which Xetuu ERP Limited is incorporated, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory consumer or data-protection law provides otherwise.
15. Contact
